1. Agreement to terms
By accessing or using the ClickStrat platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of the Platform, including clients seeking expert consultation and experts providing it. If you do not agree to these Terms, do not use the Platform. ClickStrat Pty Ltd ("ClickStrat", "we", "us") reserves the right to update these Terms at any time. Continued use after changes constitutes acceptance.
2. The ClickStrat platform
ClickStrat provides an expert network platform that facilitates connections between clients and domain experts. ClickStrat acts as an intermediary and is not a party to the substantive consultation relationship. We do not guarantee the accuracy, completeness, or fitness for purpose of any expert's views or advice. Clients are responsible for making their own assessments of any information received during expert calls.
3. Client obligations
Clients agree to: use the Platform only for lawful research and advisory purposes; not solicit material non-public information (MNPI) from experts; not attempt to recruit or engage experts outside the Platform during or for 12 months following the engagement; not share call transcripts or expert information with unauthorised third parties; comply with all applicable laws, including securities law and competition law, in connection with their use of the Platform; provide accurate information in all briefs and communications.
4. Expert obligations
Experts agree to: provide accurate and truthful information in their application and profile; not disclose confidential information, trade secrets, or MNPI belonging to current or former employers; comply with any employment agreements, non-disclosure agreements, or regulatory restrictions that may limit what they can discuss; disclose any conflicts of interest to ClickStrat before accepting an engagement; not solicit clients for services outside the Platform.
5. Compliance
ClickStrat takes compliance seriously. All engagements are subject to compliance checks, including expert attestations and, where relevant, wall-crossing protocols. Clients and experts are responsible for ensuring their participation complies with their own firm's compliance policies. ClickStrat maintains call records and audit trails. We may refuse or terminate any engagement where we believe compliance obligations cannot be met.
6. Fees and payment
Clients are charged a fee per call, as agreed in advance of each engagement. Fees are invoiced following call completion. Payment terms are net 30 days unless otherwise agreed. Experts are compensated at the rate agreed with ClickStrat for each call. ClickStrat retains a margin on the difference between client fees and expert compensation. All fees are exclusive of VAT or applicable taxes, which will be added where required.
7. Intellectual property
All content, software, and materials on the Platform are owned by ClickStrat or its licensors. You may not reproduce, distribute, or create derivative works from Platform content without prior written consent. Call transcripts provided to clients are licensed for internal research use only and may not be published or redistributed. Experts retain ownership of their own background knowledge and expertise; they do not transfer any IP to clients by participating in calls.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with Platform use. This obligation survives termination of these Terms. ClickStrat will not disclose client briefs to any third party other than the relevant expert candidates. Expert identities will not be disclosed to third parties without consent. Client identities will not be disclosed to experts beyond what is necessary to facilitate the engagement.
9. Limitation of liability
To the maximum extent permitted by law: ClickStrat is not liable for any indirect, incidental, special, or consequential damages arising from use of the Platform; ClickStrat's total liability for any claim arising from these Terms is limited to the fees paid by the relevant client in the 12 months preceding the claim; ClickStrat makes no warranty that the Platform will be uninterrupted, error-free, or that expert advice will be accurate or complete. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence.
10. Termination
Either party may terminate their use of the Platform at any time. ClickStrat may suspend or terminate access if these Terms are breached or if we reasonably believe continued engagement creates legal, regulatory, or reputational risk. Obligations regarding payment, confidentiality, compliance, and intellectual property survive termination.
11. Governing law
These Terms are governed by the laws of Australia. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Australia, except where mandatory local consumer protection laws require otherwise.
